Terms of Service

This English version is provided for convenience. The German version is legally binding; in case of any discrepancy, the German version prevails. Deutsche Fassung

1. Scope and provider

These terms apply to the use of the language learning platform Lingua Ace. The provider is SEOLOAD LLC, 2880 W Oakland Park Blvd STE 225C, Fort Lauderdale, FL 33311.

2. Service

Lingua Ace is a learning platform that uses AI to create content, exercises, conversations and feedback. AI-generated content and assessments may contain errors; they do not replace a certified language qualification. We develop the platform continuously and may change features as long as the core of the service is preserved.

3. Account

Using the platform requires an account with a valid email address. The account is personal; login details must be kept confidential.

For minors under 16, the contract is concluded by the parent or legal guardian, who becomes the contracting party; they confirm this when setting up the account and at the same time consent to the processing of the child's data (Art. 8 GDPR). Without this confirmation the account cannot be used. Paid plans can only be booked by persons with full legal capacity.

4. Conclusion of the contract

The presentation of the plans on the website is not a binding offer but an invitation to book. By submitting a paid booking you make a binding offer. The contract is concluded when we confirm the booking or activate the booked plan. We do not store the contract text separately; you can view and print these terms on this page at any time.

For the free plan, the contract is concluded when you confirm your email address.

5. Plans, prices and payment

There is a free plan with daily limits and paid plans. Prices and the scope of the service are shown before booking. Consumers are shown final prices including any applicable VAT; businesses are charged net prices plus statutory VAT.

Payment is made in advance for the respective billing period via the payment service provider Stripe and is due on booking. The payment methods offered by Stripe apply.

6. Term and cancellation

Paid plans renew for the chosen period unless cancelled before it ends. You can cancel at any time in the settings (subscription management); cancellation takes effect at the end of the paid period. The account can be deleted at any time in the settings.

7. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal of 14 days from conclusion of the contract. A clear statement sent to mgundlach@seoload.de is sufficient to exercise it.

Lingua Ace provides digital content that is not supplied on a physical medium. If you expressly request that we begin performance before the withdrawal period expires and confirm that you are aware that you lose your right of withdrawal upon full performance of the contract, the right of withdrawal expires pursuant to Section 356(5) of the German Civil Code (BGB). Without this express consent, performance only begins after the period has expired. If performance begins earlier at your request and you then withdraw, you must pay a reasonable amount for the service provided up to that point.

8. Your own content

You may only upload content you are entitled to use. You retain all rights to your content; we use it solely to create your personal learning material from it. Unlawful content is prohibited.

9. Fair use

Automated access, circumventing limits and sharing access with others are not permitted. In the event of serious violations we may suspend the account.

10. No certification, no advice

The levels shown in Lingua Ace (PRE-A1 to C2) are our own assessment based on your answers in the app. They are based on the Common European Framework of Reference for Languages but are not a language certificate and do not correspond to the result of any official examination (such as telc, Goethe, Cambridge, IELTS or DELE). We do not guarantee that such an examination body would reach the same result.

Content and feedback are generated wholly or partly by AI and may contain errors. They do not constitute legal, tax or other professional advice.

11. Availability

We strive for high availability but do not owe uninterrupted access. Maintenance, disruptions at upstream providers and outages of the AI services used may lead to temporary restrictions. Prolonged outages for which we are responsible entitle you to a pro-rata refund of the fee for the affected period.

12. Liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence we are only liable for breaches of essential contractual obligations — obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely — and only up to the foreseeable damage typical for this type of contract. Liability under the German Product Liability Act (ProdHaftG) remains unaffected.

Otherwise liability is excluded, in particular for indirect damage, loss of profit and for decisions you make on the basis of content, assessments or level estimates generated by Lingua Ace.

13. Final provisions

The provider is a company established in the United States. Contracts concerning Lingua Ace are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG); mandatory consumer protection provisions of the country in which you have your habitual residence remain unaffected. If the contracting party is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Cologne, Germany.

The European Commission provides a platform for online dispute resolution. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Should any provision be invalid, the remainder of the contract remains valid.
